Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the ParseRelay intelligent document processing platform, websites, APIs, and associated services (collectively, the "Service") operated by ParseRelay ("we", "us", or "our").

By creating an account, accessing our APIs, or utilizing the Service, you ("Customer", "you") agree to be bound by these Terms.

1. Document Processing Services

ParseRelay provides tools and computational pipelines for document ingestion, optical character recognition (OCR), vision-LLM field extraction, human review workflows, and automated delivery relays.

1.1 Ingestion Channels & Availability

Documents may be ingested via web upload, inbound email forwarding, REST API, native MCP protocol, or batch cloud connections. We strive to maintain a 99.9% API uptime service level for Growth and Business tier customers.

1.2 Accuracy & Human-in-the-Loop Review

While ParseRelay leverages state-of-the-art vision models (including Aperture PR-01) with sub-millimeter bounding box coordinates and validation rules, automated document extraction is probabilistic. Customers are responsible for reviewing low-confidence extractions prior to executing financial disbursements, tax filings, or ERP database postings.

2. Credit Model, Billing & Refunds

2.1 Document Quotas & Refill Packs

Each monthly or annual subscription tier includes a designated monthly document quota (e.g., 500 documents for Starter, 2,000 for Growth, 5,000 for Business).
Unused plan credits reset at the start of each billing cycle.
On-demand Refill Packs (e.g., 500 documents for $79) do not expire and are drawn only after monthly subscription credits are fully consumed.

2.2 Automatic Failure Refunds

If a submitted document fails processing due to file corruption, unsupported format, or extraction engine errors, ParseRelay automatically refunds the consumed credit back to your organization balance in real-time.

2.3 Free Trial

New organizations receive 20 free document credits upon signup without requiring a credit card. Once trial credits are consumed, an active subscription or refill pack is required to continue processing.

2.4 Cancellation

Subscriptions may be cancelled at any time from Organization Settings > Billing. Upon cancellation, your service remains active with remaining credits until the end of your current billing period.

3. Customer Data & Intellectual Property

3.1 Customer Content Ownership

You retain 100% ownership, title, and intellectual property rights in and to all source files, images, PDFs, extracted structured data, and custom transformation scripts submitted to the Service.

3.2 License to Process

You grant ParseRelay a limited, non-exclusive license solely to ingest, parse, transform, and relay your content as required to deliver the Service. We never use Customer Content to train external or shared foundation models.

4. Sandboxed Code & Post-Processing Scripts

ParseRelay allows customers to execute custom JavaScript transformations in an isolated Node.js VM. You agree not to upload malicious scripts designed to bypass sandbox security, consume excessive compute, or probe infrastructure boundaries. We reserve the right to terminate execution of scripts that exceed runtime limits (3,000ms max).

5. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ParseRelay be liable for indirect, punitive, incidental, special, or consequential damages resulting from lost business opportunities, erroneous ERP disbursements, or data transmission failures. Our aggregate liability under these Terms is strictly limited to the amount paid by you in the twelve (12) months preceding the incident.
